Celebri-3, S. de R.L. de C.V., a corporation duly incorporated under the laws of Mexico, including its subsidiaries and branches (hereinafter referred to as Pharma2Help®), renders services as an online pharmacy for the sale and merchandise of products and medication in Mexico, and as such, offer you certain functions and services when you visit, use and carry out any operation on our website www.pharma2help.com and the webpages, subpages, windows, prompts, links and pop-ups deployed therein that belong to such internet webpage (jointly, hereinafter referred to as the “Webpage”); as well as when you use Pharma2Help applications for certain devices, or when you use software made available by Pharma2Help, which are offered or provided in pursuance to the following terms and conditions.
By using, visiting and/or registering as a user and/or client on our site, where appropriate, you accept the following Terms and Conditions and expressly manifest your acceptance and acknowledgement, using for this purpose electronic means of authorization and consent, the foregoing in accordance with the provisions of article 1803 of the Federal Civil Code (Código Civil Federal) and 93 of the Commercial Code (Código de Comercio); therefore, it is requested that you carefully read and analyze what is stated in this document. In the event that the user does not fully and completely accept these Terms and Conditions, the latter must refrain from accessing, using and observing our site, and therefore must leave it. This document states the “Terms and Conditions” to which you are subject as a user of our site. Any visit will be reason to consider you as a user for the sole situation of opening or entering into it. Additionally, each user agrees to be bound in accordance with these Terms and Conditions regarding any action or operation offered, carried out, arranged and/or specified through the site, as well as of your capacity as Client when registering on our site, where applicable, in accordance with Article 2 of these Terms and Conditions.

Intellectual Property of Pharma2Help: The trademark and brand “Pharma2Help®”, “Pharma2Help Farmacia, “Pharma2Help Pharmacy”, the logos and designs related to such, are duly registered in Mexico before the Mexican Institute of Industrial Property (IMPI). Due to the foregoing, they cannot be used in relation to other goods, products or services by virtue of the fact that the rights and their use are exclusive to Pharma2Help. The content of this site is subject to industrial and intellectual property rights, as well as copyright owned by Pharma2Help and its suppliers. Everything contained on this site: the text, graphics, logos, icons, images, audio clips, custom graphics, original photographs, data, images, music, audio and video clips, fonts, titles, button icons, logos, designs, software and any other content that may be considered as industrial and/or intellectual property rights, or even images of persons, are the property of or have been duly licensed by their owners or licensees in favor of Pharma2Help and are protected in accordance with the current legislation applicable in Mexico, in pursuance to the Federal Law for the Protection of Industrial Property (Ley Federal de Protección a la Propiedad Industrial), as well as International Treaties. Every title and intellectual property rights protected by copyright laws are reserved to materials downloaded or otherwise received by any user through this site, in accordance with the Federal Copyright Law (Ley Federal de los Derechos de Autor).
Pharma2Help grants each user a non-exclusive, non-transferable license in whole or in part, solely and exclusively to access, use and display this site and its contents on a device for your individual use as a user. You agree not to interrupt or attempt to interrupt the operation of this site.
This site, its content and the software (including any applications) may only be used as a means of information on goods and pharmaceutical products offered at retail, for personal consumption and a resource for making personal purchases with Pharma2Help.
Any other use including the reproduction, modification, distribution, transmission, republication, exhibition or execution of the content of the site is strictly prohibited and in case of being detected as such, the corresponding infringement procedures will be followed thereafter.

The user agrees not to send, upload or transmit communications, content or material of any kind to the email addresses (or by any other means) of Pharma2Help that infringes or violates the rights of any of the parties or that violates these Terms and Conditions.
Any user who delivers or exchanges in any way communications, content or materials, including, but not limited to personal or business information, ideas, concepts or inventions, irrevocably grants Pharma2Help an unrestricted, worldwide, indefinite and non-refundable license. royalties to use, reproduce, publicly display, perform, publish, transmit and distribute such materials and you further agree that Pharma2Help is free to use any ideas, concepts or knowledge that any user or others acting on their behalf provide to Pharma2Help. Article 2
Client Registration
2.1. Representations on the Veracity of Client’s Information: Users who have freely decided to fill out and accept the registration form visible on our site us.pharma2help.com in order to generate an Account, accept these Terms and Conditions as Customer, as well as the Privacy Notice, which can be consulted on our site www.pharma2help.com
The Clients commit and agree to the adequate and responsible use of the site, of the goods and/or products and services acquired. Likewise, they will be responsible for ensuring that all data and information transmitted to Pharma2Help are correct and truthful, ensuring that they have the necessary rights to lawfully disclose said information to Pharma2Help. The Client when registering and creating his Account, may choose to receive news and advertising information, thereby confirming and agreeing to leave without effect or clarify NOT being registered in the registry referred to in article 18 and 18 bis of the Federal Law of Consumer protection (Ley Federal de Protección al Consumidor). 2.2. Registration account with Pharma2Help: The Client is responsible for maintaining the confidentiality of his/her account data and his/her password, restricting access from any technological device, and assuming responsibility for any activity carried out from his/her account and the use of his/her password, to name a few. The user acknowledges that access to the site through his account constitutes an electronic signature and that any data message or communication made through his account or any other means registered with Pharma2Help, will be attributable to him/her as Client by Pharma2Help.
2.3. Electronic Communications: The User and/or Client agrees that the information delivered to Pharma2Help through data messages by email, telephone calls or any other method indicated on the site, shall be binding for the Client as a form of express and written consent and may be kept in the records by Pharma2Help. The Client authorizes Pharma2Help to assume that any data message or of any nature, has been issued by the Client whenever they come from any electronic address or telephone number registered with Pharma2Help, even made by any other not registered through the site. The Client acknowledges that any message sent by Pharma2Help by any of these means will be deemed received as if it were in writing. The Client accepts that all contracts and/or agreements, notices and other notifications and communications that Pharma2Help or the Client carry out by electronic means or through the site, satisfy any legal requirement in writing; the foregoing in accordance with article 89 of the Commerce Code (Código de Comercio).
2.4. Domicile and Service Areas: The user and/or Client acknowledges that Pharma2Help is domiciled in 103 Miguel Alemán Avenue Local 7 Ciudad Reynosa Centro, Reynosa CP. 88500 Reynosa, Tamaulipas, México.
From this moment, the user acknowledges that any discount, offer or operation carried out with Pharma2Help through the site, can only be carried out and will be valid in those districts in which Pharma2Help has the capacity. Pharma2Help’s offers and services, unless expressly stated otherwise, will be valid and limited to the aforementioned service areas and subject to availability.
Article 3
Advertising on the Site
3.1. Advertising authorizations: All advertising materials on the site are displayed on it, based on statements made to Pharma2Help by the providers, authors or owners of said advertising, that the aforementioned materials comply with all legal requirements in accordance with the Mexican legislation, necessary to be lawfully displayed on our site. The user and/or Client acknowledges and accepts that except for goods and/or products marketed with brands that are the property of Pharma2Help, its affiliates and/or subsidiaries; Pharma2Help does not design or produce advertising for goods and/or products on the site, especially drugs, medicines, vitamins, goods and/or health products, which is an obligation borne by the suppliers, authors or owners of said advertising, whereas you accept and acknowledge that Pharma2Help will not have any responsibility related to said advertising. In pursuance to the foregoing, Pharma2Help shall not be responsible for the consumption, use and/or effects of the aforementioned goods and/or products, drugs or medications to the fullest extent permitted by the applicable legislation in Mexico. The content announced in the advertising that appears on the site is subject to the availability of the corresponding goods and/or products in the Pharma2Help branches, which appear in the Order Confirmation as appropriate. Each Client in this act acknowledges that advertising on the site is only made on commercial offers or promotions related exclusively to the existence of goods and/or products and their price by Pharma2Help; and not so with the characteristics of said goods and/or products, which are the responsibility of the corresponding suppliers.
3.2. Products and/or Services Description: Pharma2Help has the intention to be as accurate as possible in the description of all goods and/or products and services displayed on the site. Notwithstanding the foregoing, Pharma2Help does not guarantee that the description of any good and/or product is accurate, complete, detailed, veritable, in force or error-free. If a good and/or product displayed on the site does not meet the description indicated therein at the time of delivery to the user, the user may refuse to accept it and Pharma2Help will be construed to not receive the corresponding payment; or in the event that you have received the same by charging a bank debit or credit card, Pharma2Help will make the corresponding refund by means of a deposit on the corresponding card, within ten business days following the date of the Client’s refusal to receive the good and /or product. In any case, the final description of the good and/or product matter of any Purchase Offer will be the one included in the corresponding Order Confirmation.
The Client will be responsible for verifying that the good and/or product complies with the description indicated in the Purchase Order and in the corresponding Order Confirmation at the time of delivery. The images are merely illustrative, and the characteristics of the product may vary without prior notice.
3.3. Offered Price: In terms of article 42 of the Federal Consumer Protection Law (Ley Federal de Protección al Consumidor), the price that appears for each of the goods and/or products displayed on the site represents the approved retail price in terms of the applicable legislation and/or suggested by the applicable manufacturer or supplier, as applicable, including, where applicable, taxes associated with the sale. The prices offered will be visible in US dollars and are calculated on the basis of the exchange rate in force for their price in Mexican pesos. At the time of payment through interbank payment systems and points of sale, there is the possibility that the price will be charged equivalent to the exchange rate in Mexican Pesos corresponding to the previous day. In case of discrepancy on the amount paid, it must be at the price specified in Mexican pesos, legal currency in the United Mexican States and the basis on which the price of the product is determined. On our site we may offer other promotions associated with the purchase of goods and/or products. The user and/or client will have the right to mention said promotions that are applicable in their Purchase Orders, and Pharma2Help will make its best effort to identify and communicate to the user any promotion applicable to any Purchase Order and to include it in the Order Confirmation. Pharma2Help shall honor the current promotions on the site. Notwithstanding the foregoing and despite our best efforts, for reasons attributable to our suppliers of goods and/or products, to our logistics service providers due to technical difficulties in updating our advertising on the site and the time that it can naturally consume review and update activity in our pricing system, or inventory errors, some of the goods and/or products displayed on the site may appear with an erroneous or non-updated price.
In order for Pharma2Help to be able to offer the user and/or client the lowest possible current price offered for any good and/or product, and to make them participate in our applicable promotions, Pharma2Help may confirm by telephone, email or other addressed to the user and/or client, the prices for each good and/or product in particular related to their Purchase Order and the Order Confirmation in accordance with these Terms and Conditions.
Article 4
Transactions made through the Site
4.1. Purchase Orders: Pharma2Help, through its branches and its distribution and delivery network, including the services carried out through third parties, in accordance with the Terms of Use for shipping services, offers the user and/or Client the sale and delivery service of goods and/or products in terms of the Adhesion Contract established in the following Terms and Conditions. Pharma2Help, by the simple fact of registering the Client, agrees to be bound by the Adhesion Contract contained in these Terms and Conditions.
The user and/or Client may make offers to purchase any good and/or product through the site (each of said offers, a “Purchase Order”), which will be made through a data message that the Client agrees to be taken as an offer submitted in writing to Pharma2Help. By placing a Purchase Order, the Client will offer Pharma2Help: (i) the purchase of the goods and/or products described in the Purchase Order, (ii) pay the price for said goods and/or products contained in the Order Confirmation, (iii) condition the transfer of ownership of the goods and/or products to the retention of ownership mode, in such a way that said transfer is only made if is simultaneously performed with the payment of the price of the Order Confirmation, (iv ) receive the correspondent goods and/or products at any Pharma2Help branch indicated by the Client, in which case, Pharma2Help will maintain such goods and/or products at the indicated branch and the Client must pick them up there as soon as possible, (v) identify themselves and deliver to Pharma2Help the official documents that are necessary and/or the medical prescriptions that are required at the entire satisfaction of Pharma2Help, for the sale of medicines and pharmaceuticals whereas said documents are necessary in accordance with current applicable legislation and regulations and (vi) condition the sale and the Purchase Order to these Terms and Conditions.
4.2. Purchase Orders confirmation and payment through credit or debit cards: Pharma2Help, through messages displayed on the site and addressed to the Client, email or telephone, at its sole discretion, will notify the Client of the receipt of a Purchase Order and will request the Client to confirm its terms (each , an “Order Confirmation”), including (i) the identity of the Client, (ii) the description of the goods and/or products, (iii) the price of the goods and/or products, (iv) the place and delivery time, (v) the payment methods acceptable to Pharma2Help, (vi) the existence or non-existence of the good and/or product for delivery at the designated place, (vii) the telephone numbers and other means where the Client may go at the corresponding Pharma2Help branch, if applicable, for any clarification regarding the good and/or product, and (ix) any other information that Pharma2Help deems pertinent. The Order Confirmation will constitute acceptance of the Customer’s Purchase Order, either by email, by telephone or at the time of confirming on the site, or app to authorize Pharma2Help to charge the corresponding price to a credit or debit card, whereas, except as indicated in section 4.3. set forth below, the sale shall be deemed as executed in pursuance with said Order Confirmation, whereas the Client shall be irrevocably compelled to sign the “voucher”, unconditional order of payment or the document that proves the charge corresponding to the card indicated and authorized by him/her. For payments performed with any bank card, the user and/or Client is hereby noticed that, occasionally, it will be necessary manually imprint the card on paper, as well as the presentation of an official identification with photograph, or the use of any means of payment. authentication that currently exists and is incorporated as part of the payment method.
4.3. Purchase on delivery and payment: The Client agrees and convenes that the sale offered through the Purchase Order will be considered as executed and in force only until the good and/or product has been delivered, to said Client, in accordance with the Order Confirmation and paid price, in the understanding that such purchase shall be conditioned, where appropriate, to the delivery of documents and/or medical prescriptions, together with the requirements in force as provided by COFEPRIS and/or the Ministry of Health (Secretaría de Salud), which are mandatory to be delivered to Pharma2Help by the Client, in pursuance with current applicable legislation. Pharma2Help will deliver to the Client the purchase receipt simultaneously with the good and/or product, and where appropriate, a copy of the “voucher” or document that proves the corresponding charge on the bank card authorized by the Client for payment.
All purchases shall be paid in cash at the time of delivery or by charging the credit or bank debit card authorized by the Client to Pharma2Help by telephone or by any other means indicated on the site or in the Confirmation of Order, whereas it is consistent with the contracts entered into by Pharma2Help with the corresponding card providers and Points of Sale Terminal providers, or the service providers of the payment method chosen by the Client and accepted by Pharma2Help. In the event that the Client chooses to carry out the payment of any good and/or product with a bank card, he/she declares that he/she has the right to carry out said charge on the corresponding card and irrevocably undertakes to sign and deliver to Pharma2Help the evidence of the corresponding charge.
4.4. Invoices: The user and/or Client is entitled to request an invoice in relation to any purchase made with Pharma2Help in terms of current tax legislation applicable in Mexico, by including the data of the corresponding receipt or purchase ticket in the following link [email protected] Pharma2Help, for such purposes, may, through a third party, perform the electronic invoicing service, who as such, will aid the user and/or Client to generate invoices, reprint them, cancel and any other matter, doubt or clarification, through the portal and the link that is on the site for this purpose. Electronic invoicing can only be done within two months after the purchase.
4.5. Delivery: Pharma2Help will make its best efforts to deliver the goods and/or products as quickly as possible. The Client must verify that the good and/or product is the same as that described in the Order Confirmation and in the Purchase Offer.
The Client is aware that there are situations unrelated to the service, such as: adverse weather events (rain, hail, floods, among others), construction works, road closures, strikes, or any other fact that hinders the delivery time, and may cause delay or suspension.
4.6. Order Cancellation: Pharma2Help is entitled to refrain from accepting a Purchase Order and delivering the corresponding goods and/or products when said good and/or product is not available at the branches, if any, in the event there is no availability or means of delivery to said address, when payment is not received or is unable to be charged (and, where appropriate, the lack of corresponding documents or medical prescriptions) simultaneously with the delivery of the good and/or product, or when it is not possible to carry out the delivery due to force majeure, among others not limited to the aforementioned. The Client is entitled to revoke any Purchase Order prior to payment of the corresponding price.
4.7. Manufacturers’ Guarantee: Pharma2Help, as a distributor of the products for sale, seeks that the complementary items sold, that is, those that are not considered medicines, food or pharmaceutical items, are guaranteed by a manufacturer’s guarantee, which must adhere to the provisions and terms established in Federal Law for Protection of the Consumer (Ley Federal de Protección al Consumidor).
The Client accepts that any guarantee issued by the manufacturer of the products must be executed directly before said manufacturer or laboratory in terms of the guarantee that covers the product in question and that Pharma2Help will not be liable for complying with the obligations set forth in said guaranty.
4.8. Refunds and cancellations:
General guidelines
The return of products will be made as long as they comply with each and every one of the conditions that are established below:
For consumer protection, the return or reimbursement of prescription drugs and those that require refrigeration and freezing is strictly prohibited. This measure ensures that the medicine has been properly stored. Pharma2Help shall not accept the return of any medicine prescribed or that requires freezing or refrigeration. The reimbursement of the amount paid for the medications will only be applicable in the event that the shipment has not been processed, since all sales are final at the time they are sent for shipment, provided that in such moment, the right to reimbursement is lost.
The maximum term to accept the return is 30 calendar days from the date of purchase, provided that it is not medication.
The Client must send a scanned copy of the original sales receipt with legible resolution, in good condition and without amendments.
The item to be returned by the Customer must be complete and in perfect condition (that is, the packaging is not broken or damaged, the security seals must not be violated, etc.)
NO REFUNDS ARE APPLICABLE IN THE FOLLOWING ITEMS:
Psychotropic medications (controlled medications) or antibiotics.
Refrigerated Medications or substances that need refrigeration of any kind.
Laboratory Loyalty Programs.
Items associated with a promotion with a coupon whereas its validity has already expired at that moment.
Vaccines.
If the sale to be returned is invoiced, such invoice shall be canceled in order to make the return. Said cancellation shall be made directly at the branch where the sale was generated.
If the cost of the new item is greater than the item that was returned, the Customer shall pay the resulting difference.
4.9. Refunds regarding payment methods:
On transactions settled on 100% with Cash or Bank Deposit, the refund then will be made in Cash or will be returned to that account, accordingly.
In transactions settled on 100% with a single bank card, the refund can be made according to the following guidelines:
The refund on the reimbursement can be made to the same bank card, according to the Customer’s decision.
Partial refunds are allowed, as long as the total payment has been made with a single bank card.
Refunds of items paid through third party vouchers modality do not apply.
The refund to bank cards will be electronically and on the same bank card used for the purchase. This procedure is under the responsibility and procedures of the issuing Client’s bank, so the reimbursement times may vary according to each Banking Institution.
Article 5
Miscellaneous Provisions
5.1. Indemnification: The user and/or Client acknowledges that Pharma2Help does not assume any obligation or responsibility that is not specifically provided in these Terms and Conditions. The user and/or Client in this act undertakes to indemnify Pharma2Help, its employees, officers, directors, commission agents and affiliates for any damage, harm, loss, consequential damages or impairment suffered as a result of the breach of its obligations under these Terms and Conditions (including, without limitation, any expenses or legal fees, as well as attorneys’ fees incurred by Pharma2Help), forcing themselves to defend and hold harmless such persons from any and all proceedings, trials, investigations, inspection and/or processes that are followed against Pharma2Help in relation to the foregoing.

5.3. Governing Law and Venue: These Terms and Conditions shall be governed by the applicable legislation in force in the United Mexican States. The sale, freight, logistics or shipping operations between Pharma2Help and the Client, as well as with the third party authorized for shipping, shall be construed in pursuance to the Federal Consumer Protection Law (Ley Federal de Protección al Consumidor), the General Health Law (Ley General de Salud), its regulations, the Regulation of Supplies for Health (Reglamento de Insumos para la Salud) and other applicable regulations. The user and / or Client in this act consents that any controversy in relation to these Terms and Conditions, shall be resolved before the authorities and courts based in Mexico City, expressly renouncing any other jurisdiction that may correspond by reason of the present or future domicile.
5.4. Amendments: Pharma2Help may at any time and when it deems convenient, without the need to notify the user and/or Client, to make corrections, additions, improvements or amendments to the content, presentation, information, services, areas, databases and other elements of the site, without constituting as a consequence, any right, claim or compensation by the user and/or Client, nor does this imply recognition of any responsibility in favor of Pharma2Help. Pharma2Help reserves the right to amend these Terms and Conditions at any time and without prior notice, on the understanding that said modifications will not take effect retroactively and that they will only be applicable to visits to the site and operations carried out after said modifications. The user and/or Client at all times agrees that the Terms and Conditions are only applicable for the operations carried out with Pharma2Help from time to time and agrees to abide by and be bound by any modification to these Terms and Conditions for any sale or other operation carried out after said modifications.
5.5. Termination: Pharma2Help reserves the right, at its entire and exclusive discretion, without prior notice to the Client and/or user, to discontinue the service or to stop any further or present publications definitely on the Site without any liability to Pharma2Help, its affiliates, subsidiaries, branches or suppliers.
